DFM Software Terms of Service

You must be at least 18 years of age or older to access or use our Services. If you access or use the Services on behalf of another person or entity, you represent that you are authorized to accept these Terms on that person or entity's behalf and that the person or entity agrees to be responsible to us if you or the other person or entity violates these Terms.

You may need to register for an account to access some or all of the Services. If you register for an account, you must provide accurate account information and promptly update it if it changes. You must maintain the security of your account, not share your credentials, and promptly notify us if you discover or suspect unauthorized access.

Your account, event, phone number, plan, or purchased messaging allotment may only be used for the event or events permitted by your purchase or plan. You may provide access to collaborators who are genuinely helping with the same event.

By creating a Text My Event account, you consent to receive electronic communications from DFM Software, including notices about your account, payment authorizations, security, legal terms, and other transactional information. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you, event hosts, and event guests.

You will not violate any applicable law, contract, intellectual property right, privacy right, or other third-party right, and you are solely responsible for your conduct while using the Services.

You will not use the Services to engage in harassing, threatening, intimidating, predatory, deceptive, or stalking conduct; impersonate any person or entity; use another user's account without authorization; interfere with or disrupt the Services; reverse engineer the Services; bypass content-filtering or access-control measures; scrape or extract data without permission; or use the Services for any illegal or unauthorized purpose.

You may not register, subscribe, attempt to register, subscribe, unsubscribe, or attempt to unsubscribe any party for any DFM Software product or service if you are not expressly authorized by that party to do so.

You may not use the Services to send unsolicited marketing material, promotional content, spam, deceptive messages, carrier-prohibited content, or content in regulated or high-risk categories that carriers restrict. This includes, without limitation, unlawful content, phishing, fraud, hate, harassment, sex, alcohol, firearms, tobacco, gambling, lending, or other content we or carriers may block.

You may only message guests who have given permission to receive texts or for whom you have a legally sufficient basis to send the messages. You represent that you have obtained all necessary consent for every recipient on your list in compliance with the TCPA, CTIA guidelines, carrier rules, and applicable law.

When using Text My Event, you must send correspondence at a reasonable hour and only for the event-related purposes described in the applicable event, campaign, opt-in flow, or messaging program. You are responsible for message content you compose, guest lists you upload, and any media or links you send.

We may apply message policies that block known carrier-filtered keywords, links, hosts, or categories. We may suspend, limit, or terminate access to accounts or events that violate these Terms, our policies, carrier requirements, or applicable law.

When you sign up for paid Services, message top-ups, subscriptions, or plans, you authorize DFM Software or our third-party payment processor to charge your payment method for the amount shown at purchase, plus applicable taxes and other charges.

Subscriptions continue until cancelled or until we suspend or stop providing access in accordance with these Terms. You may cancel a subscription through account settings, if available, or by contacting us. Inactivity does not constitute cancellation. Cancellation requests take effect at the end of the then-current billing period unless we state otherwise.

Free trials or free message allotments may be modified or terminated at any time in our sole discretion. Fees are non-refundable except where required by law or expressly stated by us.

Text My Event plans and purchases are priced and licensed according to the plan or purchase terms shown at checkout. We are not obligated to extend expired events, carry over credits, or allow purchases to be repurposed beyond the permitted use case.

Our Services and the text, graphics, images, photographs, videos, illustrations, trademarks, trade names, service marks, logos, slogans, and other content contained in them are owned by or licensed to DFM Software and are protected under United States and foreign laws.

Subject to these Terms, you are granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use the Services for their intended purposes. You may not sell, resell, copy, reproduce, distribute, publicly perform, publicly display, modify, or create derivative uses of the Services or DFM Software content except as expressly permitted by us.

We may provide access to services, features, or functionality offered by third parties in connection with the Services. Use of those services may be subject to separate terms between you and the third party. The third-party provider, not DFM Software, is responsible for those services.

Any comments, suggestions, ideas, original or creative materials, or other information you submit about DFM Software or the Services is non-confidential and may be used by DFM Software for any purpose without acknowledgment or compensation to you.

To the fullest extent permitted by law, you will indemnify, defend, and hold harmless DFM Software, its affiliates, and their officers, directors, agents, partners, and employees from and against any loss, liability, claim, demand, damages, expenses, or costs arising out of or related to your access to or use of the Services, your content, your violation of these Terms, your violation of any rights of another, or your conduct in connection with the Services.

DFM Software and the other DFM Software parties will not be liable under any theory of liability for indirect, consequential, exemplary, incidental, punitive, or special damages or lost profits, even if advised of the possibility of such damages.

The total liability of DFM Software and the other DFM Software parties for any claim arising out of or relating to these Terms or the Services is limited to the amount paid, if any, by you to access or use the Services. Some jurisdictions do not allow certain exclusions or limitations, so some limitations may not apply to you.

To the fullest extent permitted by law, you release DFM Software and the other DFM Software parties from responsibility, liability, claims, demands, and damages of every kind and nature arising out of or related to disputes between users or the acts or omissions of third parties.

By accessing or using the Services, you consent to the processing, transfer, and storage of information about you in and to the United States and other countries, where you may not have the same rights and protections as under local law.

Program Name: Text My Event SMS Alerts

Program Description: Text My Event provides an SMS/MMS-based communication platform that enables event hosts to send event-related updates, RSVP requests, event reminders, schedule changes, logistics, guest support replies, and photo or link sharing notifications to event guests.

Message Frequency: Message frequency varies per event. Recipients may receive multiple messages related to event invitations, RSVP confirmations, event updates, reminders, schedule changes, logistics, replies, and photo sharing notifications.

Opt-Out: Recipients may opt out at any time by texting STOP to any Text My Event phone number. You will receive a confirmation message and no further messages will be sent unless you re-subscribe where supported.

Privacy: Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your information.

Message and Data Rates: Message and data rates may apply. Please contact your wireless carrier for details about your messaging plan.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

Consent: All recipients of SMS/MMS messaging must provide consent prior to receiving correspondence, or the host must represent that they have obtained the necessary consent. Use of the platform for spam, unsolicited marketing, illegal activity, carrier-prohibited content, or any other use outside permitted event communication is strictly prohibited.

We may make changes to these Terms from time to time. If we make changes, we will post the amended Terms and update the Last Updated date. Unless we say otherwise, amended Terms are effective immediately, and your continued access to or use of the Services confirms your acceptance.

We reserve the right, without notice and in our sole discretion, to suspend, limit, or terminate your access to or use of the Services. We are not responsible for any loss or harm related to your inability to access or use the Services.

If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of the remaining provisions.

These Terms constitute the entire agreement between you and DFM Software relating to your access to and use of the Services. Any additional or different terms proposed by you are objected to and void unless accepted by us in writing. Failure to exercise or enforce any right or provision will not operate as a waiver. These Terms may not be assigned or transferred by you except with our prior written consent.
